Theophilus Darius Thomas is an Of Counsel at Tito Isaac & Co LLP, where he advises on corporate and commercial matters and acts in dispute resolution. A Singapore Management University law graduate who earned his degree with distinction, he was called to the Singapore Bar in 2023 and has acted in a range of arbitration and commercial litigation matters, from multimillion-dollar international arbitrations to construction and commercial claims.

Theophilus advises founders and business owners on corporate and commercial matters, including contract structuring, risk management, and regulatory compliance, and he has supported organisations on governance and compliance questions. On the contentious side, he has been involved in complex, cross-border arbitration and litigation, spanning construction and commercial disputes.

Alongside private practice, Theophilus is the Founder and Legal Counsel of AdminLess.ai, a legal technology venture, and this founder's perspective gives him a practical understanding of how to align legal advice with the commercial realities faced by businesses and startups. He has led the team at AdminLess.ai to secure non-dilutive pre-seed funding across five pitching competitions, and the company benefits from the support and startup programmes of several global technology companies.

Known for a service-oriented and people-centred approach, Theophilus works to understand each client's commercial priorities before advising, with the aim of delivering practical, business-focused solutions.

Theophilus brings particular depth at the intersection of law and artificial intelligence. He serves on the Law Society of Singapore's Generative AI Committee and as Legal Advisor to the Asia AI Association, an organisation dedicated to promoting the advancement of artificial intelligence, facilitating professional connections, and championing ethical AI practices across Asia. AdminLess.ai was a named contributor to the Ministry of Law's Generative AI Guide for the Legal Sector (2026) and one of 40 companies to respond to the Personal Data Protection Commission's public consultation on its Proposed Advisory Guidelines on the Use of Personal Data in Generative AI. His broader experience spans construction and security of payment disputes, as well as banking and finance, enabling him to offer clients holistic support.

REPRESENTATIVE EXPERIENCE

  • Acted as part of the counsel team in multimillion-dollar international arbitrations seated in India, London, and New York, drafting written submissions, conducting legal research, and contributing to cross-border case strategy.

  • Drafted submissions for a 12-day arbitration, acting for a Catalist-listed construction company in a dispute against the employer under the SIA Conditions of Contract.

  • Prepared joint instructions for the sale of three vessels valued at approximately SGD 50 million and reviewed the related facility agreements in banking and finance matters.

  • Helped secure a comprehensive settlement for an Indonesian investor in a cross-border gold mining dispute.

  • Contributed to the defence in a capital case under the Legal Assistance Scheme for Capital Offences (LASCO), drafting the closing and reply submissions.

  • Contributed to AdminLess.ai's response to the Personal Data Protection Commission's public consultation on its Proposed Advisory Guidelines on the Use of Personal Data in Generative AI, one of only 40 organisations to respond.

  • Advised startup founders and business owners on corporate and commercial matters, including contract structuring, risk management, and regulatory compliance.

  • Supported adjudication proceedings under the Building and Construction Industry Security of Payment Act.

  • Advised a religious organisation on governance, compliance, and regulatory requirements for a proposed relocation.

  • Reviewed and advised on vendor contracts, service contracts, and lease agreements for prominent F&B establishments in Singapore.

BEYOND PRACTICE

Beyond his practice, Theophilus is a professional singer who has performed in Singapore's live music scene since 2013, including with The Illegals at the Singapore Supreme Court for the ASEAN Law Association and Council of ASEAN Chief Justices Meeting. He co-founded Heaven's Whisper, a collective of musicians who bring live music to families navigating grief and end-of-life care, and he is active in community fundraising and pro bono work.
